A stapled group comprising: CDL HOSPITALITY REAL ESTATE INVESTMENT TRUST (a real estate investment trust constituted on 8 June 2006 under the laws of the Republic of Singapore) CDL HOSPITALITY BUSINESS TRUST (a business trust constituted on 12 June 2006 under the laws of the Republic of Singapore)
CLASSIFICATION OF CDL HOSPITALITY TRUSTS AS AN EXCLUDED INVESTMENT PRODUCT M&C REIT Management Limited, as manager of CDL Hospitality Real Estate Investment Trust (“HREIT”), and M&C Business Trust Management Limited, as trustee-manager of CDL Hospitality Business Trust (“HBT”), wish to announce that further to feedback provided to the Monetary Authority of Singapore (the “MAS”) that there was some uncertainty over whether stapled securities of CDL Hospitality Trusts (each comprising a unit of H-REIT and a unit of HBT) should be treated as a “Specified Investment Product” (“SIP”) or “Excluded Investment Product” (“EIP”) for the purpose of the “Notice on the Sale of Investment Products” (Notice No. SFA 04-N12) issued by MAS on 28 July 2011 (last updated on 1 January 2012) (the “Notice”), the MAS has clarified that where the components of a stapled security are all EIPs, the stapled security itself should be treated as an EIP. M&C REIT Management Limited, as manager of H-REIT, and M&C Business Trust Management Limited, as trustee-manager of HBT, therefore wish to announce that as units of H-REIT (being a real estate investment trust) and units of HBT (being a business trust) are treated as EIPs, therefore stapled securities of CDL Hospitality Trusts should be treated as EIPs. This status is reflected in the “SIP” column (which does not contain the SIP indicative symbol) of the listing of CDL Hospitality Trusts on the SGX web-site, accessible at: http://www.sgx.com/wps/portal/sgxweb/home/marketinfo/securities/stocks A copy of the Notice is available at the MAS web-site: http://www.mas.gov.sg/legislation_guidelines/securities_futures/sub_legislation/SFA_Notices.html
